1. Welcome, Agreement & Acceptance of Terms

Welcome to Va Beau. Va Beau is a destination for curious, style-minded travelers, a place to discover thoughtfully curated journeys, inspiring itineraries, and travel recommendations designed to help you explore the world with more intention, beauty, and ease. These Terms and Conditions constitute the entire understanding and agreement between you (the “Participant,” “you,” or “your”) and Big Beautiful Dream, Inc., d/b/a Va Beau (“Va Beau,” “we,” us,” or “our”) with respect to your access to and use of the Va Beau website and any bookings, inquiries, travel arrangements, or transactions made through the Platform. Through the Platform, users may discover, inquire about, and book travel experiences and related services offered by third-party Service Providers. Va Beau offers this website, including all information, editorial content, travel recommendations, itineraries, booking and inquiry tools, shopping and affiliate links, and other services or features made available through the site (collectively, the “Services”), conditioned upon your acceptance of all terms, conditions, policies, and notices stated herein. Please read these Terms carefully before using the Services or confirming any booking. These Terms contain important information regarding your rights and obligations, as well as conditions, limitations, and exclusions that may apply to you, us, or the Services.

2. Acceptance of Terms

By accessing or using the Site, or by making a booking or submitting a booking request through Va Beau, you acknowledge and agree to be bound by these Terms. Your continued use of the Site following the posting of any changes to these Terms constitutes your acceptance of those changes. These Terms apply to all users of the Site, including without limitation browsers, customers, travelers, vendors, and contributors of content. By making a booking, you accept all terms contained in this agreement and authorize Va Beau to facilitate services on your behalf in connection with your booking. All persons named in a booking (“Participants”) are subject to these Terms. The person making the booking represents and warrants that they have informed all Participants of these Terms and that all Participants agree to be bound by them, regardless of who submits payment. Any new features or tools added to the Site shall also be subject to these Terms. We reserve the right to update, modify, or replace portions of these Terms by posting updates on the Site. Changes become effective upon posting unless otherwise stated. Your continued use of the Site following any changes constitutes acceptance of those changes. These Terms constitute a legally binding agreement between you and Va Beau. Our Privacy Policy, Cookie Policy, Affiliate Compensation Disclosure, and any additional booking or traveler terms are incorporated into and form part of these Terms. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

3. Role of Va Beau and Service Providers

Va Beau provides a curated platform through which users may discover, inquire about, and book travel experiences, accommodations, tours, and related services offered by independent third-party providers (“Service Providers”). While Va Beau carefully curates the experiences and recommendations presented on the Platform, the travel services themselves are provided, operated, and controlled solely by the applicable Service Providers. Service Providers are independent entities and are not employees, agents, or representatives of Va Beau. When you make a booking through the Platform, you acknowledge and agree that:

• Va Beau acts as a platform and facilitator connecting you with Service Providers;
• the applicable Service Provider is solely responsible for delivering the travel services, including itinerary execution, accommodations, transportation, safety standards, staffing, permits, and compliance with applicable laws;
• Service Providers may have their own terms, conditions, cancellation policies, and operational requirements, which will apply to your booking and will be provided to you during the booking process or in your confirmation materials. Va Beau does not control and is not responsible for the acts, omissions, errors, availability, pricing, quality, or performance of any Service Provider or the services they provide. While Va Beau may assist with booking coordination, communication, or payment facilitation, Va Beau is not the provider or operator of the travel services themselves.

3.1 Agency Disclosure

Va Beau acts solely as an agent for you in acquiring transportation, hotel accommodations, sightseeing, and other services for your benefit. We do not own, manage, or operate any of the Service Providers. You acknowledge that your legal recourse for any failure of the travel services is against the Service Provider directly and not against Va Beau. By using our Services, you authorize us to act as your agent to assume payment obligations and enter into agreements with Suppliers on your behalf.

4. Booking, Payment, and Confirmation

4.1 Booking Requests and Availability

Bookings made through the Platform are requests for travel services offered by independent Service Providers and are subject to availability and acceptance. Submission of a booking request does not guarantee confirmation of any reservation. Va Beau and/or the applicable Service Provider reserve the right to accept or decline any booking request for any legitimate, non-discriminatory reason, including but not limited to availability limitations, pricing errors, safety considerations, suspected fraud, or inaccurate booking information.

4.2 Booking Confirmation

A booking is considered confirmed only when:

• payment (or required deposit) has been successfully processed; and
• written confirmation is issued by Va Beau and/or the applicable Service Provider. Confirmation details will typically be provided by email and may include additional terms and conditions applicable to the booked travel services. It is your responsibility to review all confirmation materials carefully and notify us promptly of any inaccuracies.

4.3 Currency

All prices listed on the Platform and all payments processed in connection with bookings are denominated in United States Dollars (USD), unless otherwise expressly stated. You are responsible for any currency conversion costs, foreign transaction fees, or other charges imposed by your bank or payment provider. If you are paying from an account denominated in a currency other than USD, your bank or payment provider may apply currency conversion rates and fees beyond our control. Va Beau is not responsible for any fluctuations in exchange rates or additional fees charged by your financial institution.

4.4 Payment Methods and Authorization

Accepted payment methods will be presented during the booking process and may include major credit cards, ACH transfers, or other approved payment methods. By submitting payment information, you represent and warrant that:

• you are authorized to use the payment method provided;
• all payment information is accurate and complete; and
• you authorize Va Beau and/or its authorized payment processors to charge the applicable amounts related to your booking, including deposits, scheduled payments, supplements, cancellation fees, or other charges authorized under these Terms or the applicable Service Provider’s policies. Your payment statement may reflect the name of Va Beau, Big Beautiful Dream, Inc., or the applicable Service Provider, depending on how payment processing is handled for your booking.

4.5 Payment Processing

Va Beau facilitates payment processing for bookings made through the Platform on behalf of the applicable Service Provider. By completing a booking, you authorize Va Beau to collect and process payment for the travel services selected. Although Va Beau facilitates payment processing and booking coordination, the travel services themselves are provided, operated, and fulfilled solely by the applicable Service Provider. Payment processing by Va Beau does not make Va Beau the provider or operator of the travel services and does not create responsibility for the performance, delivery, or operation of those services. Payment transactions may be processed using third-party payment processors. By submitting payment information, you authorize Va Beau and its payment processing partners to charge the applicable amounts associated with your booking in accordance with these Terms and any applicable Service Provider terms.

4.6 Pricing and Errors

Va Beau and Service Providers strive to ensure pricing accuracy; however, pricing or availability errors may occasionally occur. Va Beau reserves the right to correct pricing or availability errors at any time, including after a booking request has been submitted. If a material error occurs, you will be notified and provided the option to proceed at the corrected price or cancel the booking without penalty.

4.7 Right to Decline or Cancel Bookings

Va Beau reserves the right, in its sole discretion, to refuse, cancel, or limit any booking or participation request for legitimate reasons, including but not limited to:

• suspected fraudulent activity;
• inaccurate or incomplete information;
• violation of these Terms;
• safety or behavioral concerns;
• legal or regulatory compliance requirements; or
• limitations imposed by the applicable Service Provider. If a booking is declined or canceled before confirmation, any payments received will be refunded in accordance with applicable policies.

4.8 Responsibility for Booking Details

You are responsible for ensuring that all traveler information provided at booking, including names, travel dates, and contact details, is accurate and matches official travel documentation. Va Beau and Service Providers are not responsible for costs resulting from incorrect or incomplete information submitted by you.

4.9 Additional Terms Applicable to Bookings

Certain bookings may be subject to additional terms, including Service Provider policies relating to cancellation, modifications, payment schedules, or operational requirements. Such terms will be provided during the booking process and are incorporated into these Terms by reference.

4.10 Chargebacks and Payment Disputes

You agree to follow the cancellation and refund policies outlined in these Terms and any applicable Service Provider terms. You waive any right to chargeback or dispute a legitimate credit card charge for any reason other than unauthorized use of your card or a documented failure to provide the booked services. In the event you attempt a chargeback, reversal, or recollection of a payment already made without our express authorization, Va Beau reserves the right to recover all associated costs, including bank fees, administrative time, and reasonable attorneys’ fees, regardless of the outcome of the dispute.

5. Deposits, Payment Schedule, and Non-Refundable Fees

5.1 Deposits and Reservation of Services

Certain travel experiences available through the Platform require a deposit at the time of booking in order to reserve space and confirm arrangements with the applicable Service Provider. Deposit amounts and payment timing may vary depending on the experience, destination, or Service Provider requirements and will be disclosed during the booking process or on the applicable booking page. Unless otherwise stated at the time of booking, deposits are non-refundable, as they are used to secure limited availability and to cover advance commitments made with Service Providers.

5.2 Payment Schedule and Balance Due

Payment schedules vary depending on the Service Provider and the specific travel experience selected. Where applicable, payment deadlines and installment schedules will be communicated during the booking process and included in your booking confirmation materials. You agree to make all required payments by the stated deadlines. If payment is not received when due, Va Beau and/or the applicable Service Provider reserve the right to cancel your booking and apply applicable cancellation terms.

5.3 Custom and Private Departure Planning Deposits

For private, custom, or specially arranged departures, a non-refundable planning deposit of USD $500 may be required prior to itinerary development or proposal work. This planning deposit:

• secures planning and coordination services;
• may be applied toward the final trip cost where applicable; and
• is non-refundable once planning work has begun. Additional payment terms for custom or private departures will be provided separately at the time of proposal or booking.

5.4 Single Room Supplements

If you request single occupancy accommodations or a private room, an additional single room supplement may apply. Where required, single room supplements must be paid at the time of booking to reserve availability. Availability of single accommodations is limited and subject to confirmation by the applicable Service Provider.

5.5 Non-Refundable Amounts

Certain payments, including deposits, planning fees, or supplier-required advance payments, may be non-refundable regardless of cancellation reason. These terms will be disclosed during the booking process or in your booking confirmation materials. You acknowledge that non-refundable amounts reflect advance commitments and costs incurred in securing travel services on your behalf.

5.6 Price Adjustments and Supplier Requirements

In some cases, Service Providers may require modified payment schedules, higher deposits, or additional fees due to destination requirements, seasonal demand, or supplier policies. Any such requirements will be communicated to you prior to confirmation.

5.7 Authorization for Scheduled Payments

By completing a booking that includes installment payments or scheduled balances, you authorize Va Beau and its payment processing partners to charge the payment method provided for all agreed payment amounts in accordance with the applicable schedule.

6. Customer Cancellations, Changes, and Refunds

6.1 How to Cancel or Request Changes

If you need to cancel or request changes to a confirmed booking, you must submit your request in writing to Va Beau at the contact details provided on the Platform or in your booking confirmation. Cancellation timing is determined based on the date written notice is received by Va Beau. Requests for changes, including date changes or participant substitutions, are subject to availability and approval by the applicable Service Provider and may result in additional costs.

6.2 Service Provider Cancellation Policies

Cancellation, modification, and refund terms are determined primarily by the applicable Service Provider and may vary depending on the experience, destination, or booking type. By completing a booking, you acknowledge that:

• Service Provider cancellation policies apply to your reservation;
• certain bookings may be fully or partially non-refundable; and
• Va Beau cannot guarantee refunds where Service Providers do not provide them. Applicable cancellation terms will be displayed during the booking process or included in your confirmation materials.

6.3 Non-Refundable Deposits and Payments

Deposits and certain payments identified as non-refundable at the time of booking remain non-refundable in the event of cancellation, regardless of reason, including personal, medical, travel, or unforeseen circumstances. These amounts reflect advance commitments made with Service Providers and costs incurred to secure your reservation.

6.4 Refund Processing

Where refunds are approved and applicable, refunds will be issued to the original payment method used at the time of booking unless otherwise required by law. Processing times may vary depending on financial institutions and payment providers.

6.5 No Refund for Unused Portions

Once travel has commenced, no refunds or credits will be provided for any unused portion of a trip or experience, including missed activities, early departures, voluntary changes, or removal from a trip due to conduct or safety concerns. Travel experiences are sold as complete packages, and partial refunds are not available for services not used.

6.6 Booking Transfers and Date Changes

In certain cases, and at Va Beau’s sole discretion, a booking may be transferred to a different departure date or traveler, subject to:

• availability;
• Service Provider approval; and
• any additional costs or supplier fees. Requests made closer to departure may not be possible due to supplier commitments and operational requirements.

6.7 Travel Insurance Recommendation

Because cancellation policies may be strict and certain payments may be non-refundable, Va Beau strongly recommends that all travelers obtain comprehensive travel insurance covering trip cancellation, interruption, medical care, evacuation, and related travel risks.

7. Changes or Cancellations by Va Beau

7.1 Right to Modify or Cancel

Va Beau reserves the right, at its sole discretion, to modify, cancel, postpone, or reschedule a booking or travel experience prior to departure for legitimate operational, safety, or business reasons, including but not limited to insufficient participation, supplier availability, safety concerns, or circumstances beyond our reasonable control. Where reasonably possible, Va Beau will notify affected travelers promptly and will work in good faith to provide alternative options.

7.2 Supplier Substitutions and Itinerary Changes

Travel experiences may require reasonable changes from time to time. Va Beau and the applicable Service Provider reserve the right to substitute accommodations, routes, activities, transportation, or other elements of an itinerary with comparable alternatives when necessary to operate the experience safely and effectively. Such changes do not constitute a breach of these Terms and do not automatically entitle travelers to refunds or compensation.

7.3 Foreseeable Cancellations

If a booking or departure is canceled for foreseeable reasons, such as insufficient participation or supplier availability, Va Beau may offer one or more of the following remedies, at its discretion:

• transfer to an alternative departure or comparable experience;
• travel credit for future use; or
• refund of amounts paid to Va Beau for the affected booking. Any refund issued in these circumstances shall constitute full settlement of claims related to the canceled booking.

7.4 Unforeseen Circumstances (Force Majeure)

Va Beau and its Service Providers shall not be liable for any delay, modification, or cancellation of a booking resulting from a Force Majeure event. For purposes of these Terms, “Force Majeure” includes but is not limited to: acts of God, fire, flood, extreme weather, earthquake, volcanic eruption, war, riot, civil unrest, terrorism, government-mandated travel restrictions, pandemics, epidemics, health emergencies, quarantines, labor strikes, or any other event beyond our reasonable control. In such cases, refunds are not guaranteed and are subject to the amounts recoverable from Service Providers. Va Beau may, at its discretion, offer a travel credit or a rescheduled date in lieu of a cash refund.

7.5 Trip Confirmation and Minimum Participation

Certain group experiences may require a minimum number of participants in order to operate. Va Beau reserves the right to cancel or modify departures that do not meet minimum participation requirements. Where possible, travelers will be notified in advance and offered reasonable alternatives.

7.6 Independent Travel Arrangements

Va Beau is not responsible for expenses incurred outside of the booked experience, including but not limited to airfare, visas, insurance, or independently arranged accommodations or services. Travelers are encouraged to make independent arrangements with flexibility and appropriate insurance coverage.

8. Travel Insurance

Travel insurance is not included in the cost of any booking unless expressly stated otherwise. Because many travel experiences involve advance, non-refundable commitments and may take place in destinations where disruptions, medical needs, or unexpected events can occur, Va Beau strongly recommends that all travelers purchase comprehensive travel insurance. Your policy should include, at minimum, coverage for:

• trip cancellation and interruption;
• medical expenses and emergency care;
• emergency evacuation and repatriation;
• baggage loss or delay; and
• other travel-related disruptions or unforeseen expenses. You acknowledge and agree that travel insurance is your responsibility. Va Beau is not responsible for losses, costs, or expenses that may otherwise be covered by travel insurance, including but not limited to cancellation costs, medical expenses, transportation changes, or additional accommodations. Va Beau is not responsible for expenses incurred independently in preparation for travel, including airfare, visas, equipment, or other personal arrangements. Travelers are encouraged to make flexible travel arrangements and to ensure that their insurance policy provides adequate protection. By completing a booking, you acknowledge that you have been advised to obtain appropriate travel insurance and accept responsibility for obtaining coverage suitable for your needs.

9. Traveler Responsibilities and Code of Conduct

By making a booking through the Platform, you acknowledge and agree to the following traveler responsibilities:

9.1 Personal Responsibility and Fitness

You are responsible for selecting travel experiences that are appropriate for your abilities, health, and fitness level. You acknowledge that travel may involve varying levels of physical activity and environmental conditions, and you agree to participate at your own discretion and risk. Va Beau and Service Providers do not provide personal care, physical assistance, or medical supervision unless expressly stated otherwise.

9.2 Medical, Dietary, and Accessibility Needs

You agree to inform Va Beau and/or the applicable Service Provider of any relevant medical conditions, mobility limitations, allergies, or dietary requirements as early as possible and no later than any deadlines communicated prior to departure. While reasonable efforts may be made to accommodate requests, accommodations cannot be guaranteed, and Va Beau is not responsible for circumstances where such requests cannot be fulfilled.

9.3 Travel Documents and Entry Requirements

You are solely responsible for obtaining and maintaining valid passports, visas, vaccinations, permits, and any other required travel documentation. Va Beau may provide general information as a courtesy; however, you remain fully responsible for verifying and complying with all entry, exit, and health requirements applicable to your destination. Va Beau is not responsible for costs, losses, or disruptions resulting from incomplete or invalid travel documentation.

9.4 Respect, Conduct, and Group Experience

Travelers are expected to act respectfully toward fellow participants, local communities, guides, and Service Providers, and to comply with applicable laws and local customs. Va Beau and/or the applicable Service Provider reserve the right to refuse participation, remove, or decline service to any traveler whose conduct, health, or behavior:

• poses a risk to themselves or others;
• disrupts the experience for other participants; or
• violates applicable laws or these Terms. In such cases, no refund or compensation will be provided.

9.5 Safety and Remote Travel Conditions

You acknowledge that certain destinations may involve remote locations or limited access to medical facilities, emergency services, or infrastructure. You accept responsibility for assessing your ability to participate safely and agree to follow safety guidance provided by guides or Service Providers.

9.6 Responsibility for Arrival and Departure

You are responsible for arriving on time at the designated trip start location and for all transportation arrangements outside of the services specifically included in your booking. Va Beau is not responsible for missed departures, delayed arrivals, or losses resulting from transportation disruptions outside its control.

10. Pricing, Inclusions, and Exclusions

10.1 Trip Price

All prices displayed on the Platform are listed in United States Dollars (USD) unless otherwise stated. Trip pricing is based on the specific details shown at the time of booking, including itinerary, accommodations, occupancy type, and services provided by the applicable Service Provider. Unless otherwise specified, pricing is based on double occupancy accommodations.

10.2 What Is Included

The trip price includes only those services expressly identified as included in the itinerary or booking confirmation. Included services may vary by experience and may include, where stated:

• accommodations;
• guided activities and experiences;
• certain meals;
• transportation specifically listed in the itinerary;
• admission or activity fees identified as included. The final list of inclusions for your booking will be reflected in your confirmation materials.

10.3 What Is Not Included

Unless specifically stated otherwise, trip pricing does not include:

• airfare or transportation to or from the trip start and end locations;
• travel insurance;
• passports, visas, or required travel documentation;
• meals, beverages, or activities not listed as included;
• optional activities or personal excursions;
• personal expenses, including shopping, gratuities, or incidentals;
• medical expenses or emergency evacuation;
• local taxes, entry fees, or government-imposed charges;
• any services not expressly listed as included. Travelers are responsible for all excluded costs.

10.4 Price Changes and Availability

Trip pricing and availability are subject to change until a booking is confirmed. Prices may vary based on seasonality, demand, supplier costs, currency fluctuations, or promotional pricing. Different travelers on the same experience may pay different prices depending on booking date or promotional offers. Discounts or promotions introduced after confirmation do not apply retroactively.

10.5 Supplier Pricing and Adjustments

Service Providers may occasionally adjust pricing due to changes in local costs, taxes, transportation expenses, or operational requirements. If a material price adjustment occurs prior to confirmation, you will be notified and given the option to proceed at the updated price or cancel without penalty.

10.6 Responsibility for Additional Costs

Va Beau is not responsible for additional expenses incurred outside the services expressly included in your booking, including independent travel arrangements or costs arising from changes, delays, or disruptions outside Va Beau’s control.

11. Assumption of Risk and Acknowledgment

Travel involves inherent risks that cannot be eliminated, including risks associated with transportation, accommodations, physical activities, environmental conditions, local infrastructure, and the actions of third parties. By making a booking through the Platform and participating in any travel experience, you acknowledge and agree to the following:

11.1 Inherent Travel Risks

You understand that travel and participation in tours or activities may involve risks including, but not limited to:

• physical exertion or outdoor activities;
• uneven terrain, weather conditions, or natural environments;
• transportation by air, land, or water;
• exposure to illness, injury, or accidents;
• limited access to medical facilities or emergency services in certain destinations;
• acts or omissions of third-party suppliers, guides, or other participants;
• political, social, or environmental conditions that may change unexpectedly. You acknowledge that these risks are inherent to travel and cannot be fully controlled by Va Beau or Service Providers.

11.2 Voluntary Participation

Participation in any travel experience is voluntary. You accept responsibility for assessing your own physical condition, abilities, and preparedness to participate safely in the activities included in your booking. You agree to follow instructions, safety guidance, and local regulations provided by guides or Service Providers during your travel experience.

11.3 Health and Medical Responsibility

You represent that you do not have any condition that would make participation unsafe for yourself or others, or that you have disclosed relevant conditions as required under these Terms. You acknowledge that:

• medical facilities and emergency services may vary significantly by destination;
• Va Beau does not provide medical care; and
• you are responsible for any medical treatment, evacuation, or related costs incurred during travel.

11.4 Independent Third-Party Services

You acknowledge that travel services are provided by independent Service Providers and other third parties not controlled by Va Beau. Va Beau does not operate transportation, accommodations, excursions, or activities and cannot guarantee the actions or performance of third-party providers.

11.5 Acceptance of Risk

To the fullest extent permitted by law, you voluntarily assume all risks associated with participation in travel experiences booked through the Platform, whether known or unknown, foreseeable or unforeseeable. You acknowledge that travel experiences involve factors beyond Va Beau’s control and agree that participation is undertaken at your own risk.

12. Limitation of Liability

12.1 Site Disclaimers and Waivers (Website + Mobile App)

Many jurisdictions have laws protecting consumers and other contracting parties and limiting their ability to waive certain rights and responsibilities. Nothing in these Terms is intended to waive any rights or responsibilities that cannot be waived under applicable law. To the fullest extent permitted by applicable law, your access to and use of the Platform is at your sole risk. For purposes of these Terms, the “Platform” includes, without limitation, the Va Beau website, any mobile application(s) (including any future versions, updates, upgrades, or replacements), any web- or app-based booking or inquiry tools, any related features, content, and functionality, and any services, communications, or materials made available through any of the foregoing. (a) AS IS / AS AVAILABLE; No Warranties The Platform, Services, content, and booking and inquiry tools are provided on an “AS IS” and “AS AVAILABLE” basis, with all faults, and without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Va Beau disclaims all warranties and conditions, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement, and any warranties arising out of course of dealing or usage of trade. (b) No Guarantees About Performance, Availability, or Security Va Beau makes no representations or warranties that the Platform or any portion of the Services will be uninterrupted, timely, secure, accurate, complete, reliable, or error-free; that defects will be corrected; or that the Platform or servers that make it available are free of viruses, malware, trojans, worms, logic bombs, or other harmful components. You are responsible for implementing safeguards to protect your device(s), accounts, networks, and data (including the use of anti-virus, firewall, and similar protections). (c) Content, Editorial, and Information Disclaimer Va Beau may provide editorial content, travel recommendations, itineraries, destination information, packing lists, shopping recommendations, pricing guidance, availability indicators, maps, photos, and other materials for informational and inspirational purposes. Va Beau does not warrant or guarantee the completeness, accuracy, reliability, timeliness, or usefulness of any content made available through the Platform, including content provided by Service Providers, affiliate partners, advertisers, social platforms, or other third parties. Travel information can change rapidly, and content may be out of date, incomplete, or incorrect. You acknowledge and agree that any reliance on the Platform or content is at your own risk. (d) Booking Tools and Technical Errors Va Beau does not warrant or guarantee that booking, inquiry, payment, messaging, calendar, inventory, pricing, or availability tools will function without interruption or error. The Platform may experience delays, limitations, outages, maintenance periods, or other technical issues. Va Beau is not responsible for any failure, delay, or error in transmitting, processing, or displaying booking-related information, including confirmation emails, receipts, or notifications, whether caused by system issues, third-party service providers, internet or carrier failures, or other factors outside Va Beau’s reasonable control. (e) No Liability for Platform-Related Losses To the fullest extent permitted by applicable law, Va Beau shall not be liable for any loss, damage, injury, or expense arising out of or relating to your access to or use of (or inability to access or use) the Platform, including without limitation:

• errors, inaccuracies, or omissions in any content, listings, descriptions, pricing, availability, or information;
• interruptions, delays, failures, or outages in transmission, performance, functionality, or availability;
• unauthorized access to or use of servers, systems, accounts, or any personal information or user data;
• malware, viruses, trojans, or other harmful code transmitted to or through the Platform by any third party;
• technical failures, bugs, defects, compatibility issues, or other problems with the Platform, including any mobile app;
• device, operating system, browser, or carrier limitations, including failures related to push notifications, SMS, email delivery, or app permissions;
• loss of data, corruption of data, or failure to store or transmit data;
• suspension, termination, or modification of the Platform or any feature, including the removal of content or changes to functionality; or
• reliance on any content, recommendations, or communications made available through the Platform. (f) Third-Party Links, Ads, and External Services The Platform may include links to third-party websites, applications, tools, social media platforms, advertisements, affiliate links, or services. Va Beau does not control and is not responsible for third-party content, availability, security, practices, or performance. Your use of third-party services is at your own risk and subject to those third parties’ terms and policies. (g) App Stores and Mobile Platform Providers If you access the Platform through a mobile application, you acknowledge that your use may also be governed by the terms of your device manufacturer and/or mobile operating system provider and any applicable app store provider (e.g., Apple App Store, Google Play). To the fullest extent permitted by law, Va Beau disclaims liability for any claims, losses, damages, or costs arising from or related to (i) app store actions (including removals or suspensions), (ii) device or OS restrictions, (iii) carrier limitations, or (iv) third-party software or hardware compatibility issues. (h) Use at Your Own Risk You acknowledge and agree that your access to and use of the Platform—including any content, recommendations, booking tools, or communications—is at your own risk. Va Beau makes no promise that the Platform or any content is appropriate or available for use in any particular location, and access from jurisdictions where the Platform or any content is unlawful is prohibited.

12.2 Third-Party Services

You acknowledge and agree that Va Beau provides a platform through which you may discover, inquire about, and book travel services offered by independent third-party providers (“Service Providers”). Service Providers are independent contractors and are not employees, agents, joint venturers, partners, or representatives of Va Beau. Va Beau does not own, operate, manage, supervise, or control any Service Provider or any travel services, and Va Beau does not guarantee the existence, quality, safety, legality, suitability, or delivery of any travel services. No Responsibility for Service Provider Acts or Omissions. To the fullest extent permitted by applicable law, Va Beau is not responsible or liable for, and you agree not to seek to hold Va Beau responsible or liable for, any act, error, omission, negligence, misconduct, warranty, statement, representation, breach, failure to perform, delay, interruption, or default of any Service Provider or other third party, including without limitation any matter relating to:

• the operation, conduct, or fulfillment of any tour, activity, accommodation, transportation, or other travel service;
• itinerary execution, changes, substitutions, cancellations, or service failures of any kind;
• staffing, training, supervision, and conduct of guides, drivers, hosts, facilitators, contractors, or other personnel;
• compliance with applicable laws, regulations, permits, licensing, insurance requirements, and safety standards;
• the condition, maintenance, or safety of any vehicles, vessels, aircraft, equipment, facilities, accommodations, venues, or premises;
• food safety, allergens, sanitation, or any dietary or accessibility accommodations (or inability to accommodate);
• accidents, injuries, illness, death, property loss, theft, assault, harassment, crime, or other incidents occurring before, during, or after travel;
• any decisions by a Service Provider relating to participant eligibility, safety, rules, conduct, or removal from an experience;
• any failure by a Service Provider to provide services as described, including disputes about what was included or excluded; and
• any refunds, credits, or compensation that may or may not be offered by a Service Provider under its own policies.
• Third-Party Information; No Guarantees. Va Beau may display, publish, or transmit information provided by Service Providers or other third parties, including descriptions, photographs, itineraries, inclusions/exclusions, pricing, availability, rules, restrictions, and cancellation terms. Va Beau does not verify and cannot guarantee the accuracy, completeness, or timeliness of such information and is not responsible for errors or inaccuracies (including pricing or availability errors), whether caused by a Service Provider, a third-party system, or other factors.
• Booking Relationship; Service Provider Terms Control Fulfillment. Your purchase, reservation, or participation in any travel service is subject to the applicable Service Provider’s terms and conditions (including rules, eligibility requirements, cancellation policies, and limitations). The Service Provider is solely responsible for providing the travel service and for determining whether and how the service will be delivered, modified, rescheduled, substituted, or canceled.
• Payment Facilitation Does Not Create Operator Liability. Va Beau may facilitate booking communications and/or payment collection and remittance on behalf of Service Providers. You acknowledge that payment processing, booking coordination, or curation by Va Beau does not make Va Beau the provider or operator of travel services, and does not create any duty, agency, or fiduciary relationship between Va Beau and any traveler, or between Va Beau and any Service Provider.
• No Liability for External Services or Independent Arrangements. Va Beau is not responsible for, and will not reimburse, any costs you incur independently or outside the scope of the confirmed booking, including airfare, hotels booked outside the Platform, visas, passports, vaccinations, equipment, insurance, ground transportation, meals, or other personal expenses, even if an experience is changed, delayed, interrupted, or canceled.
• Assumption of Third-Party Risk. You acknowledge that the quality and safety of travel services depend on third parties beyond Va Beau’s control, and you agree that the risk of injury, loss, or damage arising from third-party travel services rests entirely with you to the fullest extent permitted by law.

2.3 Maximum Liability

In all circumstances, Va Beau’s total aggregate liability arising out of or relating to your use of the Platform or any booking facilitated through the Services shall not exceed the total amount actually paid by you to Va Beau for the specific booking giving rise to the claim. To the fullest extent permitted by law, Va Beau shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or loss of enjoyment, even if advised of the possibility of such damages.

12.4 Allocation of Risk

You acknowledge that the limitations of liability and the disclaimers set forth in these Terms are an essential basis of the agreement between you and Va Beau, and that pricing and participation would not be possible without these limitations. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

13. Indemnification

You agree to defend, indemnify, and hold harmless Va Beau, Big Beautiful Dream, Inc., and its affiliates, officers, directors, employees, contractors, agents, partners, and representatives (collectively, the “Va Beau Parties”) from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or relating to:

• your breach of these Terms or any applicable Service Provider terms;
• your violation of any applicable law, regulation, or third-party right;
• your negligence, misconduct, or intentional acts during or in connection with travel;
• your use of the Platform or participation in any travel experience;
• any claims brought by third parties arising from your actions, omissions, or conduct; or
• any content, information, or materials you submit or provide through the Platform. Va Beau reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Va Beau in asserting any available defenses. This indemnification obligation survives cancellation of a booking, termination of your account, or termination of these Terms.

14. Intellectual Property and Content

14.1 Ownership of Platform Content

All content made available on the Platform, including but not limited to text, images, graphics, videos, designs, layouts, branding, logos, editorial content, itineraries, and other materials (collectively, “Platform Content”), is owned by or licensed to Va Beau and is protected by applicable copyright, trademark, and other intellectual property laws. You may access and use the Platform solely for personal, non-commercial purposes in accordance with these Terms. No right, title, or interest in any Platform Content is transferred to you. Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, modify, display, publish, transmit, create derivative works from, or otherwise exploit any Platform Content without Va Beau’s prior written consent.

14.2 Brand Features

The Va Beau name, logos, trademarks, service marks, trade dress, and other brand features are the exclusive property of Va Beau. Nothing in these Terms grants you any right to use such marks without prior written permission.

14.3 Third-Party Content and Links

The Platform may include content, products, or services provided by third parties, including Service Providers, affiliate partners, or linked external websites. Va Beau does not control and is not responsible for the accuracy, availability, or content of third-party materials or websites. Your interactions with third-party services are governed by their own terms and policies. Any shopping links, affiliate links, or third-party recommendations are provided for convenience and editorial purposes. Va Beau may receive compensation from certain affiliate relationships, as disclosed in our Affiliate Disclosure.

14.4 Reviews, Social Media Content, and Permissions

From time to time, you may provide Va Beau with reviews, testimonials, photos, or other content by:

• submitting feedback or reviews directly to Va Beau;
• tagging, mentioning, or otherwise sharing content with Va Beau on social media; or
• otherwise granting permission for Va Beau to share or repost your content. By submitting a review or granting permission for Va Beau to repost or share content, you grant Va Beau a non-exclusive, worldwide, royalty-free license to use, reproduce, display, repost, publish, and share such content in connection with promoting or operating the Platform and Services, including on the Platform, social media channels, newsletters, and marketing materials. You represent that you have the necessary rights and permissions to allow Va Beau to use such content and that its use will not violate the rights of any third party. If you wish for Va Beau to remove content previously shared with permission, you may contact us, and we will make reasonable efforts to accommodate your request where feasible.

14.5 Photography, Video, and Media Release

During certain travel experiences, events, or activities, photographs, video, or other media may be captured by Va Beau, Service Providers, or other participants. By participating in a travel experience booked through the Platform, you grant Va Beau a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, publish, display, and distribute your likeness, image, voice, and related media content for editorial, promotional, marketing, and commercial purposes, including use on the Platform, social media channels, newsletters, and other marketing materials. Va Beau will make reasonable efforts to use such media in a respectful and appropriate manner consistent with the brand and experience. If you prefer not to appear in photographs or media used by Va Beau, you may notify us in writing prior to the start of your experience, and we will make reasonable efforts to honor your request where feasible.

15. Privacy, Affiliate Links, and Third-Party Relationships

15.1 Privacy and Data Protection

Your privacy is important to us. Our collection, use, and processing of personal information is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Platform or making a booking, you acknowledge that you have reviewed and agree to the practices described in our Privacy Policy and Cookie Policy.

15.2 Affiliate Links and Shopping Recommendations

The Platform may include shopping links, product recommendations, or links to third-party websites and services. Some of these links may be affiliate links, meaning Va Beau may receive a commission or other compensation if you choose to make a purchase through those links. Affiliate relationships do not influence our editorial perspective or recommendations. Any compensation received helps support the operation of the Platform. For additional details, please review our Affiliate Compensation Disclosure, which is incorporated into these Terms by reference.

15.3 Third-Party Websites and Services

The Platform may contain links to third-party websites, applications, products, or services that are not owned or controlled by Va Beau. When you access third-party websites or services, you do so at your own risk and are subject to their terms, policies, and practices. Va Beau is not responsible for:

• the content or availability of third-party websites;
• transactions or interactions with third parties; or
• the privacy or data practices of third parties. You are encouraged to review the applicable terms and privacy policies of any third-party services you choose to use.

15.4 Sponsored or Partner Content

From time to time, content or experiences featured on the Platform may include sponsored or partner relationships. Where applicable, such content will be identified in accordance with applicable laws and industry standards. Sponsored or partner content reflects the views of the respective provider and does not constitute a guarantee, endorsement, or warranty by Va Beau unless expressly stated.

16. Termination

16.1 Termination or Suspension of Access

Va Beau reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to the Platform or Services, in whole or in part, at any time and for any legitimate reason, including without limitation violation of these Terms, suspected fraud or misuse, conduct that may harm Va Beau, Service Providers, or other users, or any activity that creates legal, operational, or security risk.

16.2 Effect of Termination

Termination of access to the Platform does not automatically cancel any confirmed booking unless expressly stated by Va Beau or the applicable Service Provider. Any confirmed bookings remain subject to applicable cancellation terms and payment obligations.

16.3 Survival

Any provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including without limitation provisions relating to payments, assumption of risk, limitation of liability, indemnification, intellectual property, dispute resolution, and governing law.

17. Dispute Resolution, Binding Arbitration, and Class Action Waiver

You agree to first contact Va Beau at care@vabeau.com and attempt to resolve any dispute informally and in good faith before initiating formal proceedings. Except for disputes in small claims court or for injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any Journey shall be resolved by binding arbitration on an individual basis administered by the AAA or JAMS in Los Angeles County, California, and conducted in the English language. This agreement to arbitrate shall be governed by the Federal Arbitration Act and applicable law, and the arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation or enforceability of this provision. All claims must be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. YOU AND VA BEAU KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY. I hereby submit to the jurisdiction of the state and federal courts in California and waive any objection to venue. Each party shall bear its own attorneys’ fees and costs unless otherwise required by law. To the fullest extent permitted by law, any claim must be commenced within one year after the claim arises or it is permanently barred. This entire section survives the termination of these Terms or the conclusion of your relationship with Va Beau.

18. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to the Platform, any booking, or the relationship between you and Va Beau shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Subject to the arbitration provisions set forth in Section 17, you agree that any legal action or proceeding that is permitted to proceed in court shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction and venue of such courts. You agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

19. General Provisions

19.1 Entire Agreement

These Terms, together with any policies or supplemental terms referenced herein (including the Privacy Policy, Cookie Policy, Affiliate Compensation Disclosure, and any applicable Service Provider terms), constitute the entire agreement between you and Va Beau regarding your use of the Platform and any bookings made through it, and supersede all prior understandings or agreements, whether written or oral.

19.2 Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

Failure by Va Beau to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be expressly made in writing.

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Va Beau. Va Beau may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

19.5 Seller of Travel Disclosures

Big Beautiful Dream, Inc., doing business as Va Beau, is registered as a California Seller of Travel with Registration Number 2167190-40. Registration as a seller of travel does not constitute approval by the State of California. This transaction is covered by the California Travel Consumer Restitution Fund (TCRF) for eligible California residents. If you are purchasing from outside of California, this transaction is not covered by the California Travel Consumer Restitution Fund.

19.6 Electronic Communications and Records

By using the Platform or making a booking, you consent to receive communications electronically, including notices, confirmations, and updates relating to your bookings or these Terms. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

19.7 Updates to These Terms

Va Beau reserves the right to update or modify these Terms at any time. Updated versions will be posted on the Platform with a revised effective date. Your continued use of the Platform following publication of updated Terms constitutes acceptance of those changes.

9.10 Hierarchy of Terms

These Terms of Use govern your general access to and browsing of the Site. If you submit a booking request or confirm a booking, you will be presented with and must agree to our Traveler Terms & Conditions, which contain specific provisions regarding cancellations, refunds, and supplier-specific policies. In the event of any direct conflict between these site-wide Terms of Use and the Traveler Terms & Conditions, the Traveler Terms & Conditions shall take precedence and govern with respect to that specific booking.
